1. Agreement to Terms

By accessing or using the Memix software (the "Software") and the Memix platform (the "Platform"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you must not use our software or services.

2. Open Source Code and Commercial Rights

Memix publishes important product code, including the extension and daemon, in the open. Public source availability does not by itself grant commercial rights to every feature or deployment mode.

  • Core daemon and solo features: The repository materials describe these components as MIT-licensed.
  • Team sync and commercial activation paths: The repository materials describe these components as BSL 1.1 licensed code. Commercial use of those gated features requires a valid Memix license, and the referenced BSL code converts to Apache 2.0 after four years.

3. License Activation and Subscription Status

Local validation

Memix license keys are cryptographically signed and validated by the local daemon before paid functionality is unlocked.

Server checks

The daemon may also verify subscription status against the license service using the subscription identifier embedded in the key. Canceled, expired, or revoked subscriptions may disable paid features.

4. Checkout and Billing

Paid subscriptions are sold and billed through Paddle. You are responsible for providing accurate billing information and for managing your subscription in accordance with Paddle's billing flows and any customer portal or support instructions we provide.

5. Acceptable Use

You may not bypass, disable, forge, or interfere with license verification, subscription enforcement, or paid-feature gating. Using the software in violation of the applicable license terms or these Terms may result in suspension of paid access or termination of support.

6. Disclaimer of Warranty

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT.

7. Limitation of Liability

In no event shall Memix or its contributors be liable for any claim, damages or other liability, whether in an action of contract, tort or otherwise, arising from, out of or in connection with the software or the use or other dealings in the software.
